Diginith LLC  ◆  Last updated October 10, 2026

These terms cover your use of this website and, where relevant, work performed by Diginith LLC, a limited liability company organized in New York whose business address is 1926 Genesee Street, Suite 1-597, Utica, NY 13501, United States.

1. What we sell

Diginith LLC is a digital studio. We design and build websites and online stores, and run search visibility, advertising, social content and email work, all under a written scope. We do not sell physical goods, software licenses or downloadable products. Our work is sold to businesses, not to consumers, so statutory consumer rights do not attach to our engagements.

2. Using this website

The site is offered as it stands, for information. Text, images, code and layout belong to us or our licensors. Read it, quote it with attribution, send it to a colleague. Do not republish it as your own, scrape it at volume, or attempt to interfere with how it runs.

3. Nothing here is a promise of outcome

Material on this site describes how we work. It is not a forecast and not advice for your particular situation. Marketing results depend on your market, your offer, your pricing and your competitors, and no honest supplier can promise a ranking, a cost per acquisition or a return. What we commit to is the scope, the people and the candor.

4. Engagements

Work begins only once both sides sign a scope of work. That document lists the deliverables, the schedule, the named people, the number we are steering by, the fee and the notice terms, and it prevails over anything said in a call or written on this website. Additional work is quoted and agreed in writing before it starts.

5. Fees, invoices and money

  • Fees are quoted and invoiced in USD, before any sales, use or similar tax, which is added where it applies.
  • Ongoing work is invoiced monthly in advance. Fixed-scope builds are invoiced against the milestones named in the scope.
  • Payment is due fourteen days from the invoice date unless the scope says otherwise.
  • Late invoices may carry interest at one and a half percent per month, or the highest rate the law allows if that is lower, plus reasonable costs of recovery.
  • Advertising budgets are paid by you straight to the platforms. We take no commission on them and they do not pass through our accounts unless agreed in writing.

6. What we need from you

To deliver we need access to the accounts, assets, approvals and information named in the scope, and one person on your side who can make decisions. Where those are slow to arrive the schedule moves accordingly, and fees for the contracted period remain due.

7. Who owns what

Advertising accounts, analytics properties, tag containers, domains and your data are yours throughout. Once everything due has been paid, the deliverables we made specifically for you are yours as well. We keep our own methods, templates, tooling and know-how, and we may describe the engagement in general terms unless you ask us not to.

8. Personal information

Where we handle personal information on your behalf we do so as a service provider, strictly on your documented instructions, and we do not keep, use or disclose it for anything else. Both sides follow applicable privacy law, and we will sign a data processing addendum wherever one is called for.

9. Confidence

Each side keeps the other’s commercial information to itself, uses it only for the engagement, and returns or destroys it on request. This survives the end of the work.

10. Ending the work

Ongoing work can be ended by either side with thirty days written notice after the first quarter. Fixed-scope builds run to their milestones. Refunds and cancellation are covered in our Billing and cancellation policy, which forms part of these terms.

11. Limits

Nothing here excludes liability for fraud or for anything that cannot lawfully be excluded. Beyond that, neither side is liable for lost profit, lost revenue, lost data or indirect loss, and our total liability for any engagement is capped at the fees you paid us for it in the preceding twelve months.

12. Which law applies

These terms, and any dispute about them, are governed by the law of the State of New York, setting aside its conflict of law rules. Both sides submit to the state and federal courts sitting in New York, except that either may seek an injunction wherever it needs one.
